From what I've noticed these are typically installed by some software you installed that actually requires them for the software to even function. If you remove either you'll possibly break some software you have installed that relies upon them.
MSXML 4.0 SP2:
I think these were installed by Microsoft Updates as a critical security update.
Personally I'd leave both of them alone as a better safe than sorry approach.
